I just wanted to clarify a very important point. You Gers fans have been commenting about our Jelly and Ice Cream melting etc etc etc after getting beat by Killie and you lot. The song is Jelly and Ice cream WHEN RANGERS DIE - NOT Jelly and Ice Cream when we win a treble or when we win the league. Don't know much about the legal stuff but have seen this information and think that this could show that CW should be held accountable for his part in our downfall.

What is Wrongful Trading? Am I trading wrongfully?

The simple explanation is this:

Is the company insolvent? If yes then the directors must act properly and responsibly. If they do not act properly or the way any reasonable person would have acted, then this may possibly be seen as acting wrongfully or trading whilst insolvent.If wrongful trading is proven, then the directors can be made personally liable for the company's debts from the time they knew the company was insolvent.


The tests for wrongful trading actions include:

1. Not filing Annual Returns for the company at Companies House.
2. Not filing annual or audited accounts at Companies House.
3. Not operating the PAYE scheme correctly, failing to pay PAYE and NIC when due, building up arrears.
4. Not operating the VAT scheme correctly, building up arrears.
5. Taking excessive salaries when the company cannot afford them.
6. Taking credit from suppliers where there was no "reasonable prospect" of paying the creditor on time.
7. Willfully piling up debt.
8. When in a hole keeping digging!

Please note you don't have to tick all of the above tests to be at risk of wrongful trading!

I'd say CW could tick all bar number 5 and at this stage that can be left at "Not Proven"

If not could a fans group not resurrect the name and look to continue with the club, whilst negotiating to pay off the old debt?

Dave king interviewed stating he still believes its liquidation as per 2 weeks ago.
He also states he does not believe David Murray was 'duped' by Craig Whyte. Says its just not possible.

Yesterday's interview at bottom of link had Paul Murray stating He feared Rangers was not possible to exit administration via a CVA. (but Ed didn't publish rumour).

Am I less of a rangers fan because I'm refusing to jump on the "newco" bandwagon ? Well some "good" friends of mine seem to think so, I'm sorry but I can't get my head around that fact , and I wish it was as easy as some people are making out but if RFC die then part of me dies aswell an honestly I just don't think it can be resurrected at the blink of an eye. I would rather support a crippled RFC who will win nothing for years who have paid off every debt they can to the full, than a "newco" with millions to spend and not a debt in sight, my only interest is rangers football club, I have NO OTHER interest !

For me personally a newco is will still be Rangers, the club never dies but the limited company may, I'm only interested in the club. This will be a part of our history if a newco is created. You can't be made out to be any more or any less of a fan than what you are mate, it's in the heart and soul.
We're all hurting, but for me the biggest killer at the moment is that we haven't a clue what's going on.
Myheart says PM and the Blue Knights as they want to save the club,my head says nobody's going to want to buy us unless it's starting again,debt free. Guess the only way we're going to know either way is when it comes to a Saturday,and we know who and what we're going to be watching.

We'll lads i would love to say that our club will survive but as the days tick away i just dont see it.
The legends game on friday was pretty emotional for me personally n im sure the same for a lot of fellow supporters. seeing those guys who have graced ibrox over the years n knowing we are unlikely to see anyone close to that level of player again hit me hard. 9iar, our run in europe in 92, helicopter sunday, the uefa cup final n walters last title as manager will be memories that no one can take away. 2 men have destroyed a club that meant so much to millions. i will always class myself a "rangers man" no matter what happens. if the club dies then no other club will do for me, i will refuse to support a newco when the guys at the helm have given up our history for the sake of a debt free club. i hope n pray there is someone out there thats sees our clubs history is worth the millions it would take to save us but im not holding my breath.

Like most of the bears on here I am totally p****d off with the slow death that our club is going through. a Question?
The big stopping point for any potential buyer is the BTC.
IF we were liquidated this week, as some posts are predicting. What would happen if the BTC then fell in Rangers favour?
Would the newco (if there is a newco?) have any comeback given that this is probably the main reason for where we are today??

The point of the enwco is that it inherits no liabilities. Not from Ticketus, not from HMRC. They will need to claim from the liquidated assets of Rangers. If the BTC goes (old) Rangers' way then all that means is that HMRC will take a - whatever it is now, 15m or something - share of the assets rather than 75m. Leaving more money for other claimants like Ticketus, employees and that pension fund. Any money left after that goes to shareholder(s).

So how does a potential buyer put a price on Rangers' assets, assuming they intend to liquidate? Well, it's a gamble. How much are they willing to gamble on the outcome of the BTC? How much are they willing to gamble on claims by various creditors being dismissed? Easy now to see why D&P told BK his bid was too low. The money from any bid goes onto the balance sheet and becomes an asset itself.

If Rangers are found guilty of tax evasion will the old board who were overseeing this alleged evasion be prosecuted.Iam a Celtic supporter but take no pleasure whatsoever in the plight of our greatest rivals.I completely understand the frustration and concern every Rangers fan is going through as i have been there when our club suffered at the hands of egotistical,arrogant greedy crooks.Its shameful that these parasites are allowed to strip a club of its dignity while remaining free from prosecution.I sincerely hope there is a solution found that can enable Rangers to continue trading and playing a massive part in scottish football and is far as iam concerned remain part of the greatest derby in the world.Good luck

Can someone explain to me why they think liquidation is days away. Because the plain facts are that Duff & Phelps renegotiated the wage bill for the sole purpose of perpetuating the season to the full 38 games (as publically announced). Why would they go through that charade if the plan all along was to throw the towel in on Good Friday?
